Abstract
The fourth edition of Company Law brings clarity and sophisticated analysis to a company law landscape much altered by the groundbreaking Companies Act 2006. It captures the dynamism of company law, places the material in context, and guides students through all the major topics studied at undergraduate level. The book is divided into five distinct sections covering corporate structure (including legal personality and constitutional issues), corporate governance (including directors' duties and liabilities), shareholders' rights and remedies (including powers of decision-making and shareholder engagement), corporate finance (including share and loan capital), and liquidation, takeovers and schemes of arrangement. Throughout the text, the significant company law cases since the last edition are addressed in depth, cases such as Prest v Petrodel Resources Ltd (addressing corporate veil issues); FHR European Ventures v Cedar Capital Partners LLC (on proprietary relief for bribes and secret commissions); and Williams v Central Bank of Nigeria (on limitation issues affecting trustees and those who assist in breach of trust). The new edition also reflects the 2014 UK Corporate Governance Code, the Sharman Report on Going Concern and Liquidity Issues, and the Kay Review of UK Equity Markets together with European developments, especially proposed changes to the Shareholders’ Rights Directive and the proposal for a Societas Unius Personae (SUP) and the new Accounting and Audit Directives.
